Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Relay platform, website, and related services (collectively, the "Service") operated at relayai.dev.

Relay is an early-stage, pre-incorporation project. It is not yet a registered legal entity. These Terms constitute an agreement between you and the individual(s) operating Relay ("we," "us," or "Relay"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Beta Status and Early-Stage Disclaimer

Relay is currently in beta. The Service is under active development and may contain bugs, experience downtime, or undergo significant changes without prior notice. Features may be added, modified, or removed at any time. We make no guarantees regarding uptime, reliability, or continuity of the Service during this stage.

We will make reasonable efforts to notify you of material changes, but you acknowledge and accept the inherent risks of using a beta product.

2. Account and Access

To use the Service, you must create an account through our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials, including any API keys generated through the platform. You agree to notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age to use the Service. By creating an account, you represent that you meet this requirement and that the information you provide is accurate and complete.

3. Your Data and Content

You retain all ownership rights to the audio files, annotations, and other data you upload to the Service ("Your Data"). We do not claim ownership of Your Data.

By uploading Your Data, you grant Relay a limited, non-exclusive, worldwide license to store, process, and analyze Your Data solely for the purpose of providing the Service to you. This includes generating embeddings, training your custom models, and running inference as directed by you.

We do not use Your Data to train shared or general-purpose models. Your custom models are trained exclusively on your own data and are accessible only to your account.

You represent that you have the right to upload and process all data you submit to the Service, and that doing so does not violate any applicable law or the rights of any third party.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload content that infringes on the intellectual property rights of others, or that you do not have authorization to process.
• Attempt to reverse engineer, decompile, or disassemble any part of the Service, its underlying models, or its infrastructure.
• Interfere with or disrupt the Service, its servers, or networks connected to the Service.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
• Use automated tools to scrape, crawl, or extract data from the Service beyond what is provided through our API.
• Resell, sublicense, or redistribute the Service without written permission.
• Upload audio containing content that is illegal or that violates the rights of the individuals recorded therein.

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these terms.

5. Billing and Payment

Relay offers subscription-based pricing plans with usage-based overage charges. All billing is processed through Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service in addition to these Terms.

Subscriptions are billed monthly. Usage beyond your plan's included allocation is billed at the overage rate specified for your plan tier. Current pricing is available on our website and is subject to change with 30 days' notice.

Free trial access may be offered with usage limits. Trial accounts that exceed their allocated limits will have processing paused until a paid plan is activated.

You may cancel your subscription at any time through your account settings or the Stripe billing portal. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for partial billing periods.

6. Intellectual Property

The Service, including its software, design, documentation, and underlying technology, is the property of Relay and is protected by applicable intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or brand assets.

Models trained through the Service using Your Data are associated with your account. You may use the outputs of those models (detection results) without restriction. However, the underlying ML architecture, training pipeline, and encoding technology remain the property of Relay.

7. Limitation of Liability

Please read this section carefully.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Given the beta status of the Service, we do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected within any particular timeframe. Detection results are probabilistic in nature and should not be relied upon as the sole basis for critical decisions.

To the maximum extent permitted by applicable law, Relay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, regardless of the theory of liability.

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amounts you have paid to Relay in the twelve (12) months preceding the claim.

8. Termination

You may terminate your account at any time by contacting us or using the account management tools provided.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraudulent or abusive activity, or discontinuation of the Service.

Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for a period of 30 days following termination, after which it may be permanently deleted. We are not obligated to retain Your Data beyond this period.

9. Indemnification

You agree to indemnify and hold harmless Relay and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when these Terms were most recently revised.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Service will be resolved through good-faith negotiation. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with standard arbitration rules.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
